TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHROMASHIFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM:

  • Unauthorized access to or alteration of your data or transmissions
  • Statements or conduct of any third party on our services

Maximum Liability Cap

In no event shall Chromashift's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing our services during the twelve months preceding the claim, or ¥10,000, whichever is greater.

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms and Conditions if such failure or delay results from events beyond their reasonable control, including but not limited to:

  • War, terrorism, civil unrest, or government actions
  • Pandemic, epidemic, or public health emergencies

Legal Information and Dispute Resolution

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms and Conditions.

Jurisdiction and Venue

Any legal action or proceeding arising from or related to these Terms and Conditions or your use of our services shall be brought exclusively in the courts of Tokyo, Japan. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

  • 2. Mediation: If informal negotiation fails within 30 days, parties agree to attempt mediation through a mutually acceptable mediator
  • 3. Formal Proceedings: Only after exhausting informal resolution and mediation may either party pursue formal legal action

Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, severed from these Terms and Conditions. The remaining provisions shall continue in full force and effect.

Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

Assignment
